Terms of Service

Last Updated: 10/30/2026

1. Introduction

Welcome to Heptabase! These Terms of Service ("Terms") are an agreement between you and Hepta Platforms, Inc. ("Company", "we", "our", "us") that governs your use of:

  • our website at https://heptabase.com and its related pages;
  • the Heptabase desktop app, web app, and mobile apps;
  • the Heptabase Web Clipper browser extension;
  • the Heptabase MCP server, API, and command-line tools, including the Heptabase app inside third-party AI apps; and
  • AI features in the Service, including AI Chat, the AI Agent, and AI Tutor

(together, the "Service").

Our Privacy Policy explains how we collect, use, and share personal information, and is part of these Terms. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service, and please tell us why at support@heptabase.com so we can try to find a solution.

2. Eligibility

You must be at least 13 years old to use the Service, or at least 16 years old if you live in the European Economic Area. If you are under 18 (or the age of majority where you live), you may use the Service only with the permission of a parent or legal guardian who agrees to these Terms on your behalf.

You may not use the Service if you are barred from doing so under applicable law.

3. Accounts

You can create an account with your email address or your Google account. You agree to give us accurate information and keep it up to date.

You are responsible for keeping your account secure and for all activity under your account. Tell us immediately at support@heptabase.com if you learn of any unauthorized use of your account.

You may not use as your name the name of another person or entity, or a name that infringes another party's rights or is offensive, vulgar, or obscene.

4. Communications

By creating an account, you agree that we may send you electronic communications about the Service, including sign-in codes, invitations, receipts, and notices about your account, your subscription, and changes to these Terms. These messages are part of the Service and you cannot opt out of them while you have an account.

We may also send you product updates, newsletters, and marketing emails. You can opt out of these at any time by following the unsubscribe link in any such email or by emailing us at support@heptabase.com.

5. Subscriptions and Payments

5.1 Plans and Billing

Some parts of the Service require a paid subscription ("Subscription"). Subscriptions are billed in advance on a monthly or yearly basis ("Billing Cycle"), depending on the plan you choose. Prices are shown before you subscribe and do not include taxes, which we add where applicable.

We use Stripe to process payments. By subscribing, you authorize us and Stripe to charge your payment method for your Subscription fees, applicable taxes, and any usage-based charges you enable under Section 5.5.

5.2 Free Trials

We may offer a free trial, currently 7 days. Unless you cancel before the trial ends, your Subscription will start automatically when the trial ends and we will charge the plan's price to your payment method. You can end a trial early to start your paid Subscription immediately. We decide who is eligible for a free trial.

5.3 Automatic Renewal and Cancellation

Your Subscription renews automatically at the end of each Billing Cycle, at the then-current price, until you cancel. You can cancel at any time in Settings > Subscription in the app. Canceling stops your Subscription from renewing; you keep access to your plan until the end of the Billing Cycle you have already paid for. After your Subscription ends, you can still view and export your data.

5.4 Plan Changes

If you upgrade your plan in the app, the upgrade takes effect immediately, and we charge you right away for the prorated price difference for the rest of your current Billing Cycle. The app shows the amount due before you confirm. Other plan changes, such as downgrades, can be made through the billing portal in Settings > Subscription and take effect as described there.

5.5 AI Credits and On-Demand Usage

Paid plans include a monthly allowance of AI credits for AI features. Included credits reset at the start of each monthly period, do not roll over, and have no cash value. Free AI credits granted outside a paid plan, such as with the Free AI Tutor plan, are a one-time grant and do not reset.

If you have an active paid Subscription, you can choose to enable on-demand usage, which lets you keep using AI features after your included credits run out, up to a monthly spending limit you set. On-demand usage is off unless you turn it on. We charge on-demand usage to your payment method after each monthly period at the rates shown in the app.

5.6 Price Changes

We may change Subscription prices. We will notify you at least 30 days before a price change takes effect, and the new price will apply starting with your next Billing Cycle after the change takes effect. If you do not want to pay the new price, you can cancel before it takes effect.

5.7 Refunds

If you contact us at support@heptabase.com within 14 days after any Subscription charge, including the first charge after a free trial and any renewal, we will refund that charge, and your Subscription will end. We deduct the AI credits you used after the charge, priced at the on-demand rates shown in the app. We may decline a refund if we reasonably believe you are abusing this policy, for example by repeatedly subscribing and asking for refunds. On-demand usage charges are not refundable once the usage has occurred. Apart from these cases, and except where the law requires otherwise, fees are non-refundable and we do not give credits for partially used Billing Cycles.

5.8 Failed Payments

If we cannot charge your payment method, we may send you an invoice to pay manually by a deadline. If you do not pay, we may limit or end your Subscription.

6. Your Content

6.1 Ownership

The Service lets you create, upload, import, store, share, and publish notes, files, and other materials ("Your Content"). You keep all of your rights in Your Content. We do not claim ownership of it.

6.2 License to Operate the Service

You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, index, and display Your Content, only as needed to provide, secure, and improve the Service for you. This includes sending Your Content to our service providers (such as AI providers) to perform the features you use, and showing it to the people you choose to share it with. This license ends when you delete Your Content or your account, except for copies in backups that are deleted on their normal schedule and content that others have already copied from what you shared.

6.3 Sharing and Publishing

When you share content with collaborators, they can view it and, depending on the permissions you give them, edit and copy it. When you publish content, anyone with the link can view it, and you grant us the right to display and distribute it through the Service for as long as it is published. You can stop sharing or unpublish at any time, but we cannot recall copies others have already made.

6.4 Your Responsibilities

You are responsible for Your Content. You represent that you have the rights needed to upload and use Your Content in the Service, and that Your Content and your use of it do not violate any law or anyone else's rights. We may remove or disable access to content that we believe violates these Terms or the law, but we are not obligated to monitor Your Content.

7. AI Features

7.1 How AI Features Work

The Service includes features powered by artificial intelligence ("AI Features"), such as AI Chat, the AI Agent, AI Tutor, transcription, voice notes, PDF parsing, and AI suggestions. To provide AI Features, we send the content needed for your request to AI models run by our providers, currently OpenAI, Anthropic, and Google, or to models we host ourselves on infrastructure provided by Runpod. Our Privacy Policy describes this processing in more detail.

7.2 No Training on Your Content

We do not use Your Content to train AI models, and our agreements with the AI providers we use prohibit them from training their models on it. Our providers may keep inputs and outputs for a limited period to monitor abuse, during which we may not be able to have them deleted immediately.

7.3 Inputs and Outputs

Between you and us, you own the input you provide to AI Features ("Input") and the content they generate for you ("Output"), and we assign to you any rights we have in Output. Output may not be unique, and other users may receive similar Output.

AI can make mistakes. Output may be inaccurate, incomplete, or offensive. Do not rely on Output as your only source of truth or as professional advice, and check it before you use or share it.

7.4 AI Use Restrictions

In addition to Section 10, you may not use AI Features to:

  1. develop AI models that compete with the Service;
  2. mislead anyone into thinking that Output was written solely by a human; or
  3. violate the usage policies of our AI providers.

Be thoughtful about including sensitive personal information about yourself or others in requests to AI Features.

7.5 Your Own AI Accounts

You can use AI Features with your own account at an AI provider, by entering your own API key (for example, from OpenAI, Anthropic, Google, or OpenRouter) or by connecting your own subscription (for example, ChatGPT or Codex). When you do:

  • your content is sent to that provider under your own agreement with it, and the commitments in Section 7.2 do not apply;
  • the provider's terms and your account settings decide how it processes, stores, and uses your content, including whether it trains models on your content and where it processes your content; and
  • you are responsible for charges from that provider and for complying with its terms.

8. Third-Party Services and Integrations

The Service lets you connect third-party services, such as Zotero and Readwise, and lets you authorize third-party apps, such as AI apps that use the Heptabase MCP server, to access your Heptabase data. When you connect or authorize a third-party service, you allow us to exchange the data you choose with it. Third-party services are governed by their own terms and privacy policies, and we are not responsible for them. You can disconnect or revoke access at any time.

9. API, MCP Server, and Command-Line Tools

If you use the Heptabase API, MCP server, or command-line tools, you must use them only as described in our documentation, keep your credentials secure, and not exceed or work around any rate limits or other technical limits. You are responsible for any actions that apps or agents you authorize take with your account. We may change or stop these interfaces, or suspend access that we believe is abusive.

10. Acceptable Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  1. violate any applicable law or regulation;
  2. exploit or harm minors in any way, including by exposing them to inappropriate content;
  3. send spam or other unsolicited advertising through the Service;
  4. impersonate the Company, a Company employee, another user, or any other person or entity;
  5. infringe or misappropriate the rights of others, or engage in any threatening, fraudulent, or harmful activity;
  6. disable, overburden, damage, or impair the Service, or interfere with anyone else's use of it;
  7. access or copy the Service or its content with robots, scrapers, or other automated means, except through the API, MCP server, and command-line tools we provide and as permitted by Section 9;
  8. introduce viruses, malware, or other harmful code;
  9. attempt to gain unauthorized access to the Service, its servers, or any connected systems, or attack it with a denial-of-service attack; or
  10. reverse engineer the Service, except where the law permits it despite this restriction.

11. Beta Features

We may offer features labeled as beta, preview, or experimental. These features may change or be removed at any time, may not work reliably, and are provided as is.

12. Feedback

If you send us feedback, ideas, bug reports, or suggestions ("Feedback"), you agree that we may use it for any purpose without any obligation to you. You acknowledge that Feedback is not confidential and that we may already have similar ideas in development.

13. Intellectual Property

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or internal business purposes.

The Service and its original content (excluding Your Content), features, and functionality are and will remain the exclusive property of Hepta Platforms, Inc. and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and other countries. You may not use our trademarks and trade dress in connection with any product or service without our prior written consent.

14. Copyright Policy

We respect the intellectual property rights of others. It is our policy to respond to any claim that content posted on the Service infringes the copyright or other intellectual property rights ("Infringement") of any person or entity. We terminate, in appropriate circumstances, the accounts of users who repeatedly infringe.

If you are a copyright owner, or authorized on behalf of one, and you believe that a copyrighted work has been copied in a way that constitutes copyright infringement, please submit your claim via email to team@heptabase.com, with the subject line "Copyright Infringement", and include in your claim a detailed description of the alleged Infringement as described in Section 15.

You may be held accountable for damages (including costs and attorneys' fees) for misrepresentation or bad-faith claims of infringement.

15. DMCA Notice and Procedure for Copyright Infringement Claims

You may submit a notification pursuant to the Digital Millennium Copyright Act (DMCA) by providing our Copyright Agent with the following information in writing (see 17 U.S.C. 512(c)(3) for further detail):

  1. an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright's interest;
  2. a description of the copyrighted work that you claim has been infringed, including the URL (i.e., web page address) of the location where the copyrighted work exists or a copy of the copyrighted work;
  3. identification of the URL or other specific location on the Service where the material that you claim is infringing is located;
  4. your address, telephone number, and email address;
  5. a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
  6. a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

You can contact our Copyright Agent via email at team@heptabase.com.

16. Termination

You can stop using the Service at any time. To cancel your Subscription, go to Settings > Subscription. To delete your account and all of Your Content, go to Settings > Advanced. Deleting your account is permanent, so export anything you want to keep first.

We may suspend or end your access to the Service if you breach these Terms, if we must do so to comply with the law, or if your use creates risk or possible legal exposure for us or others. Where reasonable, we will give you notice and a chance to export Your Content first. If we end your paid Subscription without cause, we will refund the unused portion of your prepaid fees.

Sections that by their nature should survive termination will survive, including Sections 6.4, 12, 13, and 17 through 23.

17. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT YOUR CONTENT WILL NOT BE LOST, OR THAT ANY OUTPUT GENERATED BY AI FEATURES WILL BE ACCURATE OR RELIABLE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

18. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER WE NOR OUR OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, AND (B) US$100.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

19. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless the Company and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of Your Content, your use of the Service in violation of these Terms, or your violation of any law or the rights of any third party.

20. Dispute Resolution and Arbitration

Please read this section carefully. It affects your legal rights.

20.1 Informal Resolution

Before filing a claim, you and we each agree to try to resolve the dispute informally. Send a written notice describing the dispute and the relief requested to support@heptabase.com (or, for notices from us, to the email address on your account). If the dispute is not resolved within 60 days after the notice is received, either party may start arbitration.

20.2 Agreement to Arbitrate

You and we agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration, and not in court, except that:

  1. either party may bring an individual claim in small claims court if it qualifies; and
  2. either party may seek relief in court for infringement or misuse of intellectual property rights.

The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, by a single arbitrator. The arbitrator, and not any court, will decide questions about the scope and enforceability of this agreement to arbitrate, except as stated in Section 20.3. Payment of filing, administration, and arbitrator fees will be governed by the AAA's rules. The arbitration may be held by video conference or, if in person, in the county where you live.

20.3 Class Action and Jury Trial Waiver

You and we each agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate claims of more than one person or preside over any form of class or representative proceeding. You and we each waive any right to a jury trial. If this Section 20.3 is found unenforceable as to a particular claim, that claim must be severed and decided by a court, and the rest will be arbitrated.

20.4 Mass Arbitration

If 25 or more similar demands for arbitration are filed against us by or with the help of the same law firm or organization, the demands will be administered in batches of up to 25, under the AAA's mass arbitration procedures, and the statute of limitations for any demand not yet filed will be tolled while earlier batches are resolved.

20.5 Opting Out

You can opt out of this agreement to arbitrate by emailing support@heptabase.com within 30 days after you first agree to these Terms, with the subject line "Arbitration Opt-Out" and your name and the email address on your account. If you opt out, this Section 20, including the class action and jury trial waivers in Section 20.3, does not apply to you. Opting out does not affect any other part of these Terms. If you already had an account before this Section 20 was added to these Terms, the 30 days start when we notify you of it.

20.6 Exceptions

This Section 20 does not apply to you if you live in the European Economic Area, the United Kingdom, or Switzerland, or where the law of the place you live does not permit it.

20.7 Changes to This Section

If we change this Section 20 in the future, the change will not apply to any dispute that arose before the change takes effect.

21. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions, and, where applicable, the Federal Arbitration Act. For any dispute not subject to arbitration, you and we agree to the exclusive jurisdiction of the state and federal courts located in Delaware.

If you are a consumer living in the European Economic Area, the United Kingdom, or Switzerland, you also keep the protection of the mandatory laws of your country of residence, and you may bring proceedings in the courts there.

22. Changes to the Service and These Terms

We may change, add, or remove features of the Service from time to time.

We may update these Terms by posting the updated version on this page and changing the "Last Updated" date. We may also tell you about changes by email or in the Service. Updated Terms take effect when posted unless we say otherwise. If you keep using the Service after they take effect, you agree to the updated Terms. If you do not agree, you can stop using the Service and delete your account.

23. General Terms

  • Entire agreement: these Terms, including the Privacy Policy, are the entire agreement between you and us about the Service, and replace any prior agreements.
  • Severability and waiver: if any provision of these Terms is held unenforceable, it will be limited to the minimum extent necessary and the rest will remain in effect. Our failure to enforce any provision is not a waiver of it.
  • Assignment: you may not transfer these Terms without our consent. We may transfer them in connection with a merger, acquisition, or sale of assets.
  • Force majeure: we are not liable for delays or failures caused by events beyond our reasonable control.
  • Export controls: you may not use the Service in violation of U.S. export control or sanctions laws, or if you are on a U.S. government restricted-party list.
  • App stores: if you download our mobile app from Apple's App Store or Google Play, these Terms are between you and us, not Apple or Google, and we, not Apple or Google, are responsible for the app and its content. For the iOS app, the following also applies:
    • You may use the app only on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
    • Apple has no obligation to provide maintenance or support for the app.
    • If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, of the app. To the fullest extent permitted by law, Apple has no other warranty obligation for the app.
    • We, not Apple, are responsible for addressing any claims relating to the app or your use of it, including product liability claims, claims that the app fails to conform to any legal or regulatory requirement, claims under consumer protection, privacy, or similar laws, and claims that the app infringes a third party's intellectual property rights.
    • You must comply with any applicable third-party terms, such as your wireless data service agreement, when using the app.
    • Apple and its subsidiaries are third-party beneficiaries of these Terms with respect to the iOS app, and Apple may enforce these Terms against you.
  • California users: under California Civil Code Section 1789.3, California users may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

24. Third-Party and Open Source Software
